Legal & compliance 法律合规

Legal and compliance in China. Contracts enforceable where it matters.

Chinese courts read Chinese contracts. We draft bilingual agreements built for that room, register your trademarks before a squatter does, and put your chops under a written policy with your name on it, the quiet work that decides disputes before they exist.

China is first-to-file · Trademarks belong before market entry

What it is 概述

In China, the paperwork is the protection.

Three habits sink foreign companies here. English-only contracts that a Chinese court will read through a translator, if it accepts them at all. Company chops parked with an agent "for convenience", which means someone else can sign as your company. And trademarks left unregistered in a first-to-file country, where squatting on foreign brands is an established business model.

The fixes are neither exotic nor expensive. Contracts drafted in Chinese with a matched English text. Chops governed by written policy. Marks filed before entry, in both scripts. We do this work at formation or after it. Cheaper before the dispute, every time.

The problem it solves

痛点
  • English-only contracts that don't say what you think once a Chinese court reads them.

  • Chops held by a third party. Meaning someone else can sign as your company.

  • Your own brand registered by someone else before you arrive, then offered back at a price.

Deliverables 交付清单

The documents, and the discipline around them.

Bilingual contracts

Sales, supply, employment and NDA/NNN agreements drafted in Chinese with a matched English text, and a clause naming which version controls.

Chop governance policy

Who holds each seal, who may use it for what, and what happens when someone leaves. We hand your chops over at formation; this keeps them governed afterwards.

Trademark registration

Your marks filed in English and Chinese, including the Chinese name your market will invent for you if you don't choose it first.

Licence applications

The sector permits and operating licences your scope requires, identified in the audit and filed with the right bureau.

Annual compliance calendar

Annual reports, licence renewals and filing deadlines for your entity. Tracked, owned and triggered early.

Regulatory watch

Rule changes in your sector, flagged with what they mean for you. Ahead of the deadline instead of after it.

Process 流程

Audit first, trademarks fast, then quiet.

Trademarks jump the queue. In a first-to-file system, every week between deciding on China and filing is a week someone else can file first.

Legal audit

Contracts, chops, licences and marks reviewed; gaps ranked by what can actually hurt you.

Week 1

Priority filings

Trademarks first, in both scripts; urgent licence applications go in alongside.

Weeks 1 to 4

Document suite

Bilingual contracts and policies drafted, negotiated and put into daily use.

Weeks 2 to 6

Ongoing compliance

The calendar runs: renewals, annual reports and regulatory watch for your sector.

Ongoing

Your side of the desk 您需准备

What we'll ask you for.

The audit works from whatever exists today, even if that's a folder of English PDFs and a chop in someone else's drawer. Finding that out is what it's for.

4 items · templates and instructions included
01
Current contracts

Whatever you trade on now, in any language and any state of repair.

02
Brand names & logos

Everything worth protecting, including names you plan to use later.

03
Business model description

What you sell, to whom, through whom. It drives the licence list and the contract set.

04
Existing licences

Anything already issued, so the audit maps real gaps instead of guessing.

Pricing 费用

Scoped by the audit, priced line by line.

Legal work is quoted per document and per filing once the audit has fixed the list, a written quote with a price against each line, not an hourly meter. Trademark and licence filings carry government fees, shown separately at cost.

  • Written quote with a fixed price per document and filing
  • Government filing fees listed separately at cost
  • Urgent trademark filings start before the rest of the suite

Why HCSG for this 凭什么

Prevention is cheap. Litigation isn't. We sell the first.

Your chops, your control. Handed over at formation under a written policy. Never parked with an agent "for convenience".

Drafted for Chinese courts. Every contract written to be argued where it will actually be argued, in the language the judge reads.

10+ years beside Haikou's regulators. Licence practice and FTP rules as they're applied, not just as they're published.

Legal questions 法律问答

What clients ask before the audit.

01Why do you keep saying NNN instead of NDA?

A Western NDA only covers disclosure. An NNN adds non-use and non-circumvention: your counterparty agrees not to leak your idea, not to make your product for themselves, and not to walk around you to your customers. Drafted in Chinese and governed by Chinese law, it's enforceable in the court your supplier actually answers to. Which is the entire point.

02Who should hold the company chops?

You, or an officer you appoint under a written chop policy, never an agent keeping them "for convenience". A chop binds the company in ways a signature doesn't; whoever holds it can commit you. If we formed your company, you already have yours. We hand them over at formation, policy attached.

03My trademark is registered at home. Is it protected in China?

No. China is first-to-file: rights go to whoever files here first, not to whoever used the mark first elsewhere. Squatters register foreign brands precisely because owners assume home protection travels. File the English mark and a Chinese-language version before market entry. Weeks of work that forecloses the whole problem.

04Can you litigate for us?

We draft, register and prevent, the work that settles most disputes before they're filed. When one turns contentious anyway, we brief and coordinate licensed PRC litigators, who start from a file built to be argued rather than reconstructed.

05What licences does my business actually need?

It depends entirely on scope. Trading, food, education, logistics and a dozen other sectors each carry their own permits. Some national, some Hainan-specific. The legal audit answers this definitively for your model; guessing from a forum thread is how companies end up operating outside their licence.

Client words 客户之声

From clients who’ve done this.

What I respect: they told me first what would NOT work for my case, then gave me a structure the tax bureau wouldn’t question. That honesty saved me real money.

Straight people. The quote they gave me at the start is exactly what I paid at the end. In this business, that alone tells you everything.

Licence in hand within the first week; the rest took about a month. Every step was explained before it happened. The office was exactly what they’d shown me on video.
